1. Introduction
Welcome to ClearMenus. These Terms and Conditions govern your use of our website and services, forming a legally binding contract between you (the "User", "Restaurant Owner", or "Customer") and Clear Menus ("we", "us", or "our").
2. Service Provision
ClearMenus provides an online platform that enables restaurants, cafes, and hotels to create digital, QR-code-accessible menus. We supply the software and the digital infrastructure, but we do not handle food preparation, delivery, or consumer-side restaurant operations.
3. User Accounts & Responsibilities
- You must provide accurate and complete information when registering an account.
- You are responsible for maintaining the confidentiality of your login credentials.
- You must not use the platform for any illegal or unauthorized purpose.
- You are solely responsible for the content you upload to your digital menu, including pricing, descriptions, and dietary information. We accept no liability for discrepancies between the digital menu and the actual items served at your establishment.
4. Subscriptions, Payments, and Auto-Renewal
ClearMenus operates on a subscription model. By subscribing to a paid plan, you agree to the following terms:
- Trials: We may offer a 7-day free trial. If you subscribe to a paid plan before the trial ends, your subscription begins immediately, and the trial is considered closed.
- Billing: Payments are processed securely via our third-party payment gateway (Razorpay). You authorize us to charge your selected payment method for the subscription fees.
- Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle (e.g., monthly) unless cancelled prior to the renewal date.
- Cancellation: You may cancel your subscription at any time via your billing dashboard. Access to paid features will continue until the end of your current paid billing period.
- Refunds: All subscription charges are strictly non-refundable. We do not provide prorated refunds or credits for partially used billing periods.
5. Prohibited Content
You agree not to upload any content that:
- Infringes upon the intellectual property rights of any third party.
- Is deceptive, misleading, fraudulent, or unlawful.
- Contains malicious code, viruses, or harmful software.
- Promotes hate speech, violence, or explicitly adult content.
We reserve the right to suspend or terminate accounts that violate these rules immediately, without refund.
6. Intellectual Property
The service and its original content (excluding content provided by you), features, and functionality are and will remain the exclusive property of Clear Menus and its licensors. You retain all rights to the images, descriptions, and logos you upload.
7. Limitation of Liability
In no event shall Clear Menus, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content.
8. Governing Law
These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions.
9. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
